優饗方案之條款與條件
These terms and conditions for Renewable Passes govern your purchase and use of a Renewable Pass in Taiwan, which is a Uber Eats subscription that renews automatically (the "Program" or "Renewable Pass"), launched by Uber Portier B.V., its parent, subsidiaries and/or affiliates ("Uber" or "we"), in conjunction with our restaurant partners and delivery partners, whereby you shall have, under the Offer (as defined below), access to certain promotions which give certain deduction off the order of food and/or delivery (where applicable) via the Uber Apps. Participation in the Program is subject to these terms and conditions for Renewable Passes and the general Taiwan Users Terms of Use, Privacy Policy, and Uber's Community Guidelines which are incorporated herein (collectively, the "Renewable Pass Terms").
本條款與條件將規範您在台灣訂購與使用「Uber Eats 優饗方案」，本方案係由Uber Portier BV及其母公司、子公司及/或其關係企業（「Uber」或「 我們」）結合我們的合作餐廳及外送合作夥伴所推出，具有自動續約功能之Uber Eats訂閱方案（「 本方案」或「 優饗方案」），依據要約方案（定義如下），您將可以獲得特定之促銷活動優惠，提供您在透過Uber應用程式訂購食品及/或外送服務時享有特定折扣（如有適用）。參與本方案將受到這些《Uber Eats 優饗方案之條款與條件》以及台灣用戶使用條款、隱私權政策以及Uber社群準則等一般條款之拘束，並因此而構成優饗方案條款之一部分（合稱「優饗方案條款」）。
Uber provides a technology platform which connects you to restaurant partners to order items such as food and beverages for delivery, and allows restaurant partners to contract with independent delivery providers to provide delivery services on the restaurant’s behalf. Uber is not a provider of food, transportation, or delivery services, as such all benefits offered under the Program are offered on an "as available" basis, contingent upon third-parties' availability to provide food, transportation, or delivery services and other contingencies which may impact availability of some benefits at certain times and places. Renewable Passes are provided in connection with use of the Uber Eats app ("Uber Apps"). For the avoidance of doubt, the restaurant partners and independent delivery providers shall remain responsible for complying with all applicable regulations and guidelines in Taiwan, including but not limited to, food safety, food handling and/or delivery requirements.
Uber提供一個科技平台，將您與合作餐廳連結，以便您可向餐廳訂購外送之食品及飲料等商品，並讓合作餐廳與獨立之外送提供者締約以代表餐廳提供外送服務。Uber並非餐飲、運送或外送服務之供應商，依本方案提供之所有優惠皆是依照「可行性」的基礎上提供，取決於第三方是否有能力提供餐飲、運輸或外送服務而定，以及其他可能會在特定時空下影響到優惠可行性的偶發因素而定。優饗方案係透過使用Uber Eats應用程式（「Uber應用程式」）而提供。為免疑義，合作餐廳及獨立外送提供者，應負有遵守台灣所有適用法令規章之責任，包括但不限於食品安全, 食品處理及/或外送要求。
How Renewable Passes Work.
優饗方案之運作模式
You may receive an offer in-app for specific monthly renewable benefits that can be applied on Uber App purchases ("Offer"). Each Offer will include important details and terms, such as where and when a Renewable Pass may be used, the benefit(s) conferred by the Renewable Pass ("Pass Benefits"), the cost of the Renewable Pass ("Pass Rate"), and the billing interval ("Billing Cycle"). Please refer to your Offer for details before purchasing the Renewable Pass.
您可能會在應用程式內收到特定月份之優饗方案要約，該等優惠可適用在Uber應用程式上之訂購（「要約方案」）。每項要約方案都將包括重要的細節與條款，例如可在何時何地使用優饗方案、優饗方案所提供之優惠權益（「優饗權益」）、優饗方案之計費（「費率」），以及費用之結算週期（「計費週期」）。在您訂購優饗方案之前，請參閱您的要約方案以獲知詳情。
When you buy a Renewable Pass you acknowledge that (i) you are 20 years of age or older, and (ii) you are a holder of a valid credit card. You agree to have your credit card charged every Billing Cycle on a recurring basis and agree to these Renewable Pass Terms, as well as the specific terms of the Offer. Offers are limited and subject to change.
當您訂購了「優饗方案」，您同意：（i）您為20歲或20歲以上，以及（ii）您為有效信用卡之持有人。您同意依照每個計費週期，定期以您的信用卡支付費用，並且同意本Uber Eats優饗方案條款以及要約方案之特定條款。要約方案是限量的，並且可能會有所變動。
By participating in this Program you are agreeing to these Renewable Pass Terms. If you do not agree to these Renewable Pass Terms, please do not participate in the Program.
您參加本方案，即表示您同意本優饗方案條款。如果您不同意本優饗方案條款，請不要參加本方案。
Duration and Frequency of Charges.
計費期間與計費週期
When you buy a Renewable Pass, you'll be charged the Pass Rate for your first Billing Cycle on the date of purchase, which activates the Renewable Pass for the term set forth in your Offer. Unless you cancel, you'll be charged at the Billing Cycle stated in your Renewable Pass Offer based on the initial purchase date on your selected payment method. BY DEFAULT (AND WITH PRIOR NOTICE TO THE EXTENT REQUIRED BY APPLICABLE LAW), YOUR RENEWABLE PASS WILL AUTOMATICALLY RENEW AT THE BEGINNING OF EACH BILLING CYCLE, AND THE PASS RATE WILL BE AUTOMATICALLY CHARGED TO YOUR SELECTED PAYMENT METHOD. If you do not want your Renewable Pass to automatically renew, you can cancel your subscription in accordance with Section 3 below.
當您訂購優饗方案時，您將會於訂購日被收取第一個計費週期之費率，並在您要約方案所訂之有效期限內啟動優饗方案。除非您取消，否則將依據最初購買日就您所選擇之支付方式於您優饗要約方案所載之計費週期收取費用。透過預設功能（並依適用之法律要求範圍內，於事前通知），您的優饗方案將會在每次計費週期開始時自動更新，並且依照您選擇的支付方式自動進行扣款。如果您不希望自動更新優饗方案，您可以依據以下第3條規定取消您的訂購。
If your selected payment method is declined, Uber will prompt you for a new payment method but reserves the right to terminate any unpaid periods in your Renewable Pass with no further charges to you. Uber and/or its parent, subsidiaries and/or affiliates are not responsible for any fees charged by the cardholder's bank including, but not limited to, overdraft fees, insufficient funds fees, interest charges, foreign exchange fees, cross border fees, and other penalties levied by the cardholder's bank.
如果您選擇的付款方式遭到拒絕，Uber將會提示您選擇新的付款方式，但Uber仍保留終止您在任何未付款期間優饗方案之權利，而不向您收取額外費用。Uber及/或其母公司，子公司及/或關係企業，就持卡人銀行請求收取之任何費用不負責任，包括但不限於，透支費、資金不足費、利息、外匯交易費、跨境交易費，以及持卡人銀行所課之其他罰款。
Cancelling Your Renewable Pass.
取消您的優饗方案
You may cancel your Renewable Pass within the applicable Uber App up to 30 minutes prior to your next scheduled payment to avoid further charges. To do this, go to the applicable Renewable Pass section in the Uber App that you purchased your Renewable Pass in and toggle off the "auto-renew" setting.
您可以在下一次預訂付款日之前30分鐘內，於適用的Uber應用程式取消您訂閱的優饗方案，以避免額外費用之產生。為此，請到您訂購優饗方案時所使用的Uber應用程式，打開「適用之優饗方案」部分，選取關閉「自動續約」之設定即可。
If you cancel your Renewable Pass, you will still have access to your Pass Benefits until the end of the current Billing Cycle. All monthly payments are non-refundable and non-transferable, and will not be refunded on a pro-rata basis for any cancellation initiated during a Billing Cycle. Please use help.uber.com to report any unauthorized charges within 60 days. Uber is not responsible for overdraft fees that may be incurred.
如您取消優饗方案，在當時之計費週期結束以前，您仍然可以享有您的優饗權益。所有月費都是不可退款且不可轉讓的，在計費週期內之任何取消並不會按照比例退款。如有任何未經授權而收費的情形，請在60天使用help.uber.com告知。但Uber對於可能產生的透支費不負責任。
Combining Promotions.
促銷方案之合併使用
Notwithstanding the terms and conditions of other promotions offered by Uber or third parties, Uber may permit Pass Benefits to be combined with other promotions.
即使Uber或第三方有提供其他促銷方案之條款與條件，但Uber可能決定是否同意優饗權益與其他促銷方案可合併使用。
Free Trial.
免費試用
Uber and/or third parties on behalf of Uber may offer some users a free trial or other promotional subscriptions to a Renewable Pass. Such trial or promotional subscriptions are subject to these Renewable Pass Terms except as otherwise stated in your Offer. Only one trial or promotional subscription is available per user. Free trial eligibility is determined by Uber and Uber may limit such eligibility or duration to prevent free trial abuse. Certain limitations may exist with respect to combining a free trial with any other offers.
Uber 及/或代表Uber之第三方，可以提供若干用戶優饗方案之免費試用或其他促銷訂閱方案。除您的要約方案另有約定外，該等試用或促銷訂閱方案皆受到本優饗方案條款之拘束。每位用戶只能使用一個試用或促銷訂閱方案。免費試用之資格將由Uber決定，而Uber可能會限制其資格或限定期間，以防止免費試用遭到濫用。如免費試用與任何其他優惠合併使用時，可能會存在特定限制。
AT THE END OF YOUR APPLICABLE FREE TRIAL PERIOD, YOUR RENEWABLE PASS WILL AUTOMATICALLY RENEW AND YOU WILL BE CHARGED THE PASS RATE STATED IN YOUR OFFER AT THE BEGINNING OF EACH BILLING CYCLE UNLESS YOU CANCEL PRIOR TO THE EXPIRY OF THE TRIAL PERIOD ACCORDING TO THIS RENEWABLE PASS TERMS.
在您所適用的免費試用期結束後，除您在試用期屆滿之前依照本優饗方案條款取消外，您的優饗方案將會自動更新，並且將在每一個計費週期開始時向您收取要約方案所載之費率。
Changes to Renewable Passes.
優饗方案之變更
Uber reserves the right to modify or stop offering Renewable Passes or change Pass Rates, Pass Benefits,. In the event Uber increases the Pass Rate of a Renewable Pass, we will provide you with seven (7) days prior notice via email before such changes take effect. All changes will be effective upon your next Billing Cycle, but you may avoid these changes by cancelling your Renewable Pass according to the instructions above.
Uber保留修改或停止提供優饗方案，或變更費率、優饗方案權益之權利。如果Uber提高優饗方案之費率，在此類變更生效前，我們將會在7日之前，以電子郵件通知您。所有變更將在您的下一個計費週期生效，但是您可以根據上述說明取消您的優饗方案以避免該等變更。
Uber may terminate your Renewable Pass. If that happens, Uber will give you a pro-rated refund based on charges already applied to your current billing period. We will not give any refund for termination related to conduct that we consider to be a violation these Renewable Pass Terms, any applicable law, or involving fraud or misuse of the Renewable Pass.
Uber可能會終止您訂購的優饗方案。如果發生這種情況， Uber將會依據您當時計費週期已發生之費用，按比例退款給您。如果優饗方案之終止是有關我們認為違反本優饗方案條款或任何適用之法令，或者涉及詐欺或與不當使用優饗方案之行為者，我們將不予退款。
Changes to Renewable Pass Terms.

Uber reserves the right to modify these Renewable Pass Terms. If we make material changes to the Renewable Pass Terms while you have an active Renewable Pass, we will provide you with seven (7) days’ prior notice either in the Renewable Pass section of the applicable Uber App and/or via email. Revised Renewable Pass Terms become effective at the beginning of the next Billing Cycle and your continued use of a Renewable Pass constitutes your acceptance of the revised Renewable Pass Terms. If you are not willing to agree to the revisions, you may cancel your Renewable Pass in accordance with Section 3 above.
Uber保留變更本優饗方案條款之權利。在您優饗方案有效期間內，如果我們對於優饗方案之條款有重大變更者，我們將會在7日前透過適用之Uber應用程式優饗方案功能及／或電子郵件的任一方式事前通知您。變更後之優饗方案條款將在下一個計費週期開始時生效，如果您繼續使用優饗方案即表示您接受該變更後之優饗方案條款。如果您不同意該等變更，您可以依據上述第3條取消您的優饗方案。
Transfer of Rights.
